Dresner and Kim clear some of the lingering confusion in this collection of 12 essays by different authors exploring the legal and financial aspects of PIPEs. Both of these practices have declined, but many people remain suspicious of all PIPE transactions. Like many technical investment books, the quality of the writing in this book is uneven, and there is quite a bit of repetition and self-promotion. Other chapters suffer from thin substance and turgid writing. Several of the chapters are excellent, however, including Chapters Five through Seven on the legal aspects of PIPEs and Chapter 12 on due diligence. Another problem is the relentlessly upbeat tone that results from all authors earning their livings doing PIPEs, without balance from academics, regulators or PIPE critics. Since there

Superb Introduction to PIPES through 2002 Seldom have I read as informative and as easy to understand a book as this one on a little understood area of private finance. PIPEs (Private Investments in Public Equity) mainly appear in the business press when something goes spectacularly wrong, so they have had a spotty reputation. With a weak stock market since 1999, it?s been harder to make money on PIPEs as an investor. But PIPEs have been even more important to those smaller companies which need equity financing before they can do a public offering. So PIPEs are here to stay, and this book is a superb
